Terms of Service

These Terms of Service, together with any accepted order or subscription agreement between you ("the Customer") and Quotevolution Inc ("the Provider"), govern your access to and use of the Quotevolution website, application, and related services. By accessing, browsing, registering for, purchasing, or otherwise using Quotevolution, signing an order, or accepting through an electronic method such as an "I accept" button or email confirmation, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the service.

1. The Service

Quotevolution is a cloud-hosted software platform designed to help insurance agencies and related organizations manage quoting workflows, documents, carrier and broker information, reporting, automation, and related operational processes. These Terms cover the use of the platform and the provision of hosting and support services. They do not apply to separate installation, integration, or customization services unless otherwise specified in writing.

2. Eligibility and Authority

You may use the service only if you have the legal capacity to enter into these Terms and, if you are acting on behalf of a company or other entity, the authority to bind that organization to them. You warrant that you have the legal right and authority to enter into these Terms and to perform your obligations under them.

3. Accounts and Access

Quotevolution will provide access credentials necessary to use the service. You are responsible for maintaining the security and confidentiality of those credentials and must take reasonable measures to prevent unauthorized access.
You are responsible for all activity that occurs under your account or under accounts managed by your organization, except to the extent caused by our breach of these Terms.
You must provide accurate account information and keep it reasonably up to date.
The service may only be accessed through a supported web browser as designated by Quotevolution (currently Microsoft Edge, Google Chrome, or Apple Safari).
The number of concurrent users may not exceed the limit specified in your order or subscription. You may add or remove user licenses through the process defined by the platform.
We may suspend or restrict access if we reasonably believe an account is being used unlawfully, insecurely, or in violation of these Terms, or if any amount due is overdue after written notice.

4. License and Restrictions

Quotevolution grants you a non-exclusive, non-transferable license to use the service through its user interface and, where provided, its API, solely for your internal business purposes during the term of your subscription. This license is subject to the following restrictions:

You must not sub-license your right to access or use the service.
You must not permit any unauthorized person or application to access the service.
You must not use the service to provide services to third parties.
You must not republish or redistribute any content or material from the service.
You must not make any alteration to the platform.
You must not conduct or request any load testing or penetration testing on the platform without prior written consent from Quotevolution.
The API may only be used by applications approved in writing by Quotevolution and controlled directly by you.
You have no right to access the software code — including object code, intermediate code, and source code — of the platform, either during or after the term.

5. Customer Data

As between the parties, you retain ownership of the business data, documents, records, and other materials uploaded to, stored on, or generated by you using the platform ("Customer Data"), excluding usage data relating to the platform, server log files, and aggregated or de-identified datasets. You grant Quotevolution the limited rights necessary to copy, store, transmit, edit, translate, create derivative works of, back up, and otherwise use Customer Data solely to provide and support the service and to comply with applicable law. Quotevolution may sub-license these rights to its hosting, connectivity, and telecommunications service providers strictly for this purpose.

You warrant that Customer Data will not infringe the intellectual property rights or other legal rights of any person and will not breach any applicable law, statute, or regulation.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Data to the service, that your use of the service complies with laws and regulations applicable to your business, and that any personal data contained in Customer Data has been collected and is maintained in compliance with applicable data protection laws.

6. AI Systems and Aggregated Data

Where you request or enable AI-related features, you grant Quotevolution a license to use Customer Data for the purposes of creating, generating, training, testing, and verifying the AI systems of the provider, provided that such use must not involve the processing of any personal data and that such AI systems must not incorporate any Customer Data in a way that identifies you or your clients.

You also grant Quotevolution a license to use Customer Data to create aggregated, de-identified datasets and to make unrestricted use of those datasets, including sub-licensing rights to third parties. These datasets will not identify you or any individual end user.

7. Data Backups

Quotevolution will create a backup copy of Customer Data at least daily and will retain each backup for a minimum of 7 days. If you request a data restoration, Quotevolution will use reasonable efforts to restore from the most recent available backup within 1 business day. You acknowledge that a restoration will overwrite any data stored on the platform after the backup was taken. Backup retention and restoration procedures may be subject to different terms if agreed in writing between you and Quotevolution.

8. Acceptable Use

You agree not to:

Use the service for unlawful, illegal, fraudulent, deceptive, or harmful activities.
Interfere with or disrupt the integrity, security, or performance of the service.
Attempt to gain unauthorized access to accounts, systems, or data.
Reverse engineer, copy, scrape, or build a competing service using the platform except as expressly allowed by applicable law.
Upload malicious code, harmful software, or material that infringes the rights of others.
Use the service in a way that could damage the platform or impair the experience of other customers. Quotevolution may use reasonable technical measures to limit platform resource usage to protect service quality for all customers.
Conduct any systematic or automated data scraping, data mining, data extraction, or data harvesting by means of or in relation to the service.

9. Trials, Demos, and Pre-Release Features

We may offer free trials, demos, pilot environments, beta features, or other limited-access offerings. Unless otherwise stated in writing, these offerings are provided as-is, may be modified or discontinued at any time, and may be subject to additional usage limits.

10. Early Access Program and Feature Requests

Quotevolution may invite customers to participate in an early access or early release program in which they may preview unreleased features, provide feedback, or submit feature requests, enhancement ideas, or suggested additions to the platform.

By participating in any early access program, submitting a feature request, or suggesting a change or addition to the platform — whether through the application, email, support channels, or any other communication — you acknowledge and agree that:

Any features, customizations, additions, modifications, or changes implemented by Quotevolution, whether inspired by, derived from, or directly based on your request, feedback, or suggestion, are and will remain the sole and exclusive property of Quotevolution.
You have no ownership interest, intellectual property claim, license right, royalty entitlement, or other proprietary claim of any kind in or to any feature, code, design, improvement, or functionality added to or incorporated into the platform, regardless of whether it originated from your input.
Quotevolution is under no obligation to implement, prioritize, maintain, or continue to offer any requested feature.
Quotevolution may make any such feature available to any or all customers of the platform at its sole discretion.
You agree to treat any early access features, unreleased functionality, and related materials as confidential information of Quotevolution and will not disclose them to any third party without prior written consent.

11. Fees and Billing

Paid use of Quotevolution is subject to the pricing, billing terms, and plan limits provided in an order form, subscription workflow, invoice, or other written commercial agreement between you and Quotevolution. Subscription fees may be invoiced annually or monthly in advance. Unless otherwise agreed in writing, all payments are due within 30 days of the invoice date. Fees are non-refundable except where required by law.

You are responsible for taxes, duties, levies, or similar governmental assessments associated with your purchase or use of the service, other than taxes based on Quotevolution's net income. If Quotevolution is required to pay taxes based on the service provided, those taxes will be billed to and paid by you.

If any invoice is overdue, Quotevolution may charge interest at the rate of 1% per month (or the maximum rate permitted by applicable law, if lower) on any overdue amounts from the due date until the date of receipt. Payment may be made by debit card, credit card, direct debit, or bank transfer using the payment details provided by Quotevolution.

Quotevolution may adjust subscription fees for your next renewal term, not more than once per year for annual subscriptions and not more than once within the same year for monthly subscriptions. Fee increases will not exceed 8% per adjustment period.

12. Support Services

Quotevolution will provide support in relation to the use of the service and the identification and resolution of errors. Support is available via email at support@quotevolution.com or through any helpdesk provided by Quotevolution. Quotevolution will respond promptly to all support requests.

Quotevolution is not obligated to provide support that amounts to general training, that relates to duplicate issues already raised, that arises from your misuse of the service, or that results from unauthorized alterations to the service or its configuration. Quotevolution may suspend support services if any amount due is overdue after written notice.

13. Availability, Maintenance, and Changes

Quotevolution will use commercially reasonable efforts to maintain the availability of the service but does not guarantee 100% availability. We may update, improve, modify, or discontinue features from time to time.

Quotevolution may suspend the service for scheduled maintenance and will provide prior notice where practicable. Scheduled maintenance will be carried out outside business hours (09:00–17:00 EST, weekdays) when possible, and aggregate scheduled downtime will not exceed 6 hours per calendar month.

Downtime caused by force majeure events, failures of the public internet or telecommunications networks, failures of your own systems, breaches of these Terms by you, or scheduled maintenance will not be considered a breach of these Terms.

14. Intellectual Property

Quotevolution retains sole and exclusive ownership of the Quotevolution platform, including the software, interface design, branding, documentation, related technology, and any updates, upgrades, customizations, additions of features, or changes made to the platform — whether initiated by Quotevolution or requested by you. Nothing in these Terms constitutes a transfer or assignment of ownership of the software or any related intellectual property rights from Quotevolution to you.

You are granted a non-exclusive, non-transferable license to use the software and any related customizations, feature additions, or changes solely for the purpose of using the service as outlined in these Terms. No other rights are granted except as expressly stated.

You agree to treat any customizations, feature additions, or changes made to the platform as confidential information of Quotevolution and will not disclose or provide access to such materials to any third party without prior written consent.

15. Feedback

If you provide suggestions, ideas, or feedback about the service — whether through the platform, email, support channels, conversations, or any other means — you grant Quotevolution a worldwide, perpetual, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or obligation to you. This applies regardless of whether the feedback is solicited or unsolicited.

16. Confidentiality

Each party may receive non-public information from the other in connection with the service. The receiving party must keep such information strictly confidential, must not disclose it without prior written consent except to officers, employees, professional advisers, and subcontractors who need access for performance of their work and who are bound by confidentiality obligations, and must use the same level of care it uses to protect its own similar confidential information, being at least a reasonable standard of care.

Confidentiality obligations do not apply to information that was already known to the receiving party before disclosure, becomes publicly known through no fault of the receiving party, is received from a third party without breach of confidentiality, is independently developed without use of the confidential information, or is required to be disclosed by law, regulation, or court order. The confidentiality obligations in this section survive indefinitely following termination of these Terms.

17. Disclaimers

Except as expressly stated in a separate written agreement, the service is provided on an as-is and as-available basis. To the maximum extent permitted by law, Quotevolution disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

You acknowledge that complex software is never wholly free from defects, errors, and bugs, and Quotevolution does not warrant that the service will be entirely free of them. You further acknowledge that complex software is never entirely free from security vulnerabilities, and Quotevolution does not warrant that the service will be entirely secure. The platform incorporates security features reflecting good industry practice, but absolute security cannot be guaranteed.

The service is designed to be compatible with supported web browsers as designated by Quotevolution. Quotevolution does not warrant compatibility with any other software or systems.

Quotevolution is a software platform for workflow and business operations. It does not provide legal, regulatory, underwriting, accounting, or professional insurance advice.

18. Limitation of Liability

Nothing in these Terms will limit or exclude liability for death or personal injury resulting from negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot be limited or excluded under applicable law.

Subject to the above, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, anticipated savings, revenue, income, business, contracts, opportunities, goodwill, data, databases, or software arising out of or related to the service or these Terms.

To the maximum extent permitted by law, Quotevolution's total aggregate liability arising out of or related to the service or these Terms will not exceed the amounts paid or payable by you to Quotevolution for the service during the twelve months preceding the event giving rise to the claim. If you use only a free trial or free offering, Quotevolution's total liability will be limited to one hundred U.S. dollars.

19. Force Majeure

Neither party will be liable for any failure or delay in performing obligations under these Terms to the extent caused by events outside the reasonable control of the affected party, including failures of the internet or public telecommunications networks, denial of service attacks, virus or malicious software attacks, power failures, industrial disputes affecting third parties, changes to law, natural disasters, epidemics, pandemics, explosions, fires, floods, riots, terrorist attacks, and wars. A party affected by such an event must promptly notify the other, estimate the expected duration, and take reasonable steps to mitigate its effects.

20. Termination

Either party may terminate these Terms by giving written notice to the other party. Either party may terminate immediately by giving written notice if the other party commits a material breach of these Terms. Quotevolution may also suspend or terminate access immediately if you fail to pay amounts due after written notice, or if you use the service in a way that creates legal, operational, or security risk.

Subject to applicable law, either party may terminate immediately if the other party is dissolved, ceases to conduct substantially all of its business, becomes unable to pay its debts as they fall due, becomes insolvent, or if an administrator, receiver, liquidator, or similar officer is appointed over its assets.

Within 30 days following termination: you must pay any charges for services provided before termination, and Quotevolution will refund any charges paid for services that were to be provided after termination. Upon termination, your right to use the service will end, but sections of these Terms that by their nature should survive — including provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, fees owed, and governing law — will remain in effect.

21. Subcontracting

Quotevolution may subcontract any of its obligations under these Terms, including subcontracting the hosting of the platform and related support and maintenance to reputable third-party providers. Quotevolution remains responsible to you for the performance of any subcontracted obligations.

22. Changes to These Terms

Quotevolution may modify, update, revise, or replace these Terms at any time, in whole or in part, in its sole discretion, with or without prior notice. Any updated version becomes effective upon posting or on any later effective date stated in the updated Terms. Your continued access to or use of the service after the updated Terms are posted or become effective constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the service. You may request a copy of the current Terms at any time by emailing support@quotevolution.com.

23. General

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Florida. The courts of Tallahassee, Florida have exclusive jurisdiction to adjudicate any dispute arising under or in connection with these Terms.
Severability: If any provision of these Terms is determined to be unlawful or unenforceable, the remaining provisions will continue in effect. If any unlawful provision would be lawful if part of it were deleted, that part will be deemed deleted and the rest of the provision will continue in effect.
No Assignment: Neither party may assign, transfer, or otherwise deal in any contractual rights or obligations under these Terms without the prior written consent of the other party.
No Waiver: No breach of any provision of these Terms will be waived except with the express written consent of the party not in breach.
Entire Agreement: These Terms, together with any accepted order or subscription agreement, constitute the entire agreement between the parties in relation to the subject matter and supersede all previous agreements, arrangements, and understandings between the parties in respect of that subject matter.
Third Parties: These Terms are made for the benefit of the parties and are not intended to benefit or be enforceable by any third party.
